Capital Pool Company庐 Program
The CPC Program is a unique two-step alternative to the traditional IPO for smaller companies looking to go public. The program connects experienced investors with private companies by dividing the traditional IPO process in two: the creation of the CPC public vehicle shell and the Qualifying Transaction.
IPO
An initial public offering (IPO) is the traditional method of obtaining a listing on a stock exchange. First a prospectus is filed with the securities commission, followed by an application for a public listing. The prospectus provides potential investors with detailed information they need to make informed investment decisions.
Direct Listing
A company already listed on another exchange may list directly on TSX or TSXV if they are able to meet our listing standards. In addition, these issuers may be eligible for certain exemptions from our regulatory and reporting requirements if they are listed on an exchange recognized by TSX and with similar listing requirements.
Reverse Take-Over
A reverse take-over is also known as a back door listing or reverse merger of a company already listed on TSX or TSXV. This listing can be done in a number of ways, including an amalgamation or issuance of shares in exchange for other shares or assets of the issuer.
SPAC
The Special Purpose Acquisition Corporation (SPAC) program offers an alternative vehicle for listing on TSX. This is an investment vehicle allowing the public to invest in companies or industry sectors normally sought by private equity firms. In addition, it can provide an opportunity for individuals unable to buy into hedge or private equity funds the ability to participate in the acquisition of private operating companies traditionally targeted by those funds.
